Terms of Service

Welcome to AdzePro. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Pristn Technologies LLC ("Company," "we," "us," or "our"), the owner and operator of the AdzePro platform ("Platform"). Please read these Terms carefully before using AdzePro.

1. Acceptance of Terms

By creating an account, accessing, or using AdzePro, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use the Platform. Your continued use of AdzePro after any modifications to these Terms constitutes your acceptance of the revised Terms.

2. Platform Ownership

AdzePro is owned and operated by Pristn Technologies LLC, a company registered in the State of Nebraska. All rights, title, and interest in and to the Platform, including but not limited to its design, code, functionality, branding, trademarks, and intellectual property, are the exclusive property of Pristn Technologies LLC. Creating an account or using the Platform does not grant you any ownership rights, equity, interest, or claim to the Platform or any of its intellectual property under any circumstances.

3. Eligibility

You must be at least 18 years of age to create an account and use AdzePro. By registering, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into this agreement. If you are using the Platform on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.

4. Account Registration and Security

When creating an account, you agree to:

• Provide accurate, current, and complete information during registration and keep your profile information up to date
• Maintain the confidentiality of your password and account credentials. You are solely responsible for all activity that occurs under your account
• Notify us immediately at info@adzepro.com if you suspect any unauthorized access to or use of your account
• Maintain only one account per person. Creating multiple accounts may result in suspension or termination of all associated accounts

5. User Types and Roles

Contractors

If you register as a contractor, you acknowledge and agree that:

• You are an independent professional and not an employee, agent, partner, or representative of Pristn Technologies LLC or AdzePro
• You are solely responsible for the quality, legality, and safety of the services you provide to clients
• All information you provide on your profile, including license numbers, insurance status, business details, and portfolio work, is truthful and accurate
• You are responsible for complying with all applicable local, state, and federal laws, regulations, licensing requirements, and industry standards applicable to your trade
• AdzePro does not guarantee that you will receive any clients, proposals, or income through the Platform

Clients

If you register as a client (homeowner or business), you acknowledge and agree that:

• You are responsible for performing your own due diligence before hiring any contractor, including verifying their licenses, insurance, references, and qualifications through appropriate public records and third-party sources
• Any agreement, contract, or arrangement between you and a contractor is solely between you and that contractor. AdzePro is not a party to any such agreement
• AdzePro is not responsible for the outcome, quality, or timeliness of any work performed by contractors found through the Platform

6. Contractor Independence Disclaimer

Contractors listed on AdzePro are independent professionals who use the Platform as a resource and extension tool for their work. They are not employees, agents, or representatives of Pristn Technologies LLC. We do not supervise, direct, or control contractors' work. AdzePro does not take responsibility for any bad practices, poor workmanship, misconduct, negligence, or any damages resulting from the services provided by contractors. We provide a marketplace platform - not contracting services.

7. Background Checks and Verification

AdzePro does not perform background checks on contractors or verify the accuracy of any information provided by contractors, including but not limited to license numbers, insurance status, certifications, or business credentials. Information displayed on contractor profiles is self-reported by the contractors themselves. We provide this information to help you look up contractors' public records through appropriate government and industry databases. It is your responsibility to independently verify any claims made by contractors before hiring them. AdzePro makes no warranties or representations regarding the accuracy, completeness, or reliability of any contractor-provided information.

8. Subscription and Fees

Contractor Subscription

Contractors are required to maintain an active monthly subscription to access the full features of the Platform. Subscription fees are billed on a recurring monthly basis through Stripe. You authorize us to charge your payment method on file for the subscription amount each billing cycle. Failure to maintain an active subscription may result in restricted access to Platform features.

Processing Fees

When clients pay invoices through the Platform, a processing fee is applied to cover payment processing costs. The current processing fee is 3.5% for credit/debit card payments and 2.5% for bank transfer (ACH) payments. These fees are added to the invoice amount and paid by the client. Processing fees are subject to change with notice.

Refund Policy

Subscription refunds are granted at the sole discretion of Pristn Technologies LLC. We reserve the right to issue or deny refunds on subscription fees on a case-by-case basis. Processing fees charged on invoice payments that have been successfully processed are non-refundable under any circumstances. There are no automatic refunds for subscription cancellations - your subscription will remain active until the end of the current billing period.

Client Accounts

Client accounts (homeowners and businesses) are free to create and use. There are no subscription fees or charges for clients to browse contractors, post projects, send messages, or use any client-facing features of the Platform.

9. Payments Between Users

Regarding payments between contractors and clients on the Platform:

• All invoice payments made through the Platform go directly to the contractor via Stripe Connect. AdzePro does not hold, escrow, or intermediate these funds
• AdzePro is not a mediator in any financial disputes between contractors and clients. Any disputes regarding refunds, overcharges, or payment disagreements must be resolved directly between the contractor and client
• Contractors receiving payments through the Platform must have an active Stripe Connect account. Payout timing and methods are governed by Stripe's policies
• By using payment features on the Platform, you also agree to Stripe's terms of service, including the Stripe Connected Account Agreement for contractors

10. Financial Tools and Tax Information Disclaimer

AdzePro provides certain financial management tools, including expense tracking, mileage logging, profit and loss reporting, and year-end tax summary exports. These tools are provided solely for informational and organizational purposes to help contractors manage their business records.

• The financial tools, reports, calculations, tax summaries, and any data generated by the Platform do not constitute tax advice, financial advice, accounting services, or professional guidance of any kind
• AdzePro does not guarantee the accuracy, completeness, or reliability of any financial calculations, tax estimates, mileage deductions, expense categorizations, or profit/loss figures generated by the Platform
• Pristn Technologies LLC is not a certified public accounting (CPA) firm, tax preparation service, financial advisory firm, or licensed tax professional. We do not prepare, file, or submit tax returns on your behalf
• You should always consult a qualified tax professional, certified public accountant (CPA), or licensed financial advisor before making any tax-related decisions or filing any tax returns based on information provided by the Platform
• You are solely responsible for the accuracy of the financial data you enter into the Platform and for maintaining your own independent financial records for tax purposes
• Pristn Technologies LLC shall not be held liable for any errors, omissions, penalties, fines, additional taxes owed, or financial losses resulting from your reliance on any financial tools, reports, or data provided by the Platform
• Any IRS standard mileage rates, tax rates, or regulatory figures displayed on the Platform are provided for reference only and may not reflect the most current rates. You are responsible for verifying all rates with the IRS or your tax professional

11. User Content

You retain ownership of the content you upload to AdzePro, including profile information, portfolio images, project photos, reviews, and messages. You are solely responsible for ensuring your content does not violate any laws, infringe on third-party rights, or contain false, misleading, defamatory, or inappropriate material.

By uploading content to the Platform, you grant Pristn Technologies LLC a non-exclusive, worldwide, royalty-free, transferable license to use, display, reproduce, and distribute your content solely for the purpose of operating, promoting, and improving the Platform. This license continues until you delete your content or account, except where your content has been shared with or relied upon by other users (e.g., reviews, messages).

12. Prohibited Conduct

You agree not to engage in any of the following activities on the Platform:

• Providing false, misleading, or inaccurate information on your profile or in any communications
• Harassing, threatening, intimidating, or abusing other users
• Sending spam, unsolicited messages, or using the messaging system for purposes unrelated to legitimate Platform activity
• Engaging in fraudulent transactions, fake invoices, or any deceptive financial practices
• Impersonating another person, business, or entity
• Scraping, crawling, or using automated tools to collect data from the Platform without our written permission
• Uploading malware, viruses, or any harmful code or content
• Attempting to circumvent, disable, or interfere with Platform security features, access controls, or subscription requirements
• Posting fake, incentivized, or retaliatory reviews

13. Reviews and Ratings

Reviews and ratings must be honest, accurate, and based on genuine experiences. Clients may leave one review per contractor, which may be updated upon subsequent engagements. Contractors may respond to reviews publicly. AdzePro reserves the right to remove or hide reviews that are determined to be fraudulent, defamatory, inappropriate, or in violation of these Terms. We do not verify or endorse the opinions expressed in user reviews.

14. Messaging

The messaging system on AdzePro is provided for communication between contractors and clients regarding Platform-related activity. Messages are stored on our servers for the purpose of providing the messaging service. AdzePro reserves the right to monitor, review, or access messages if we have reason to believe there is a violation of these Terms, fraudulent activity, or as required by law. Do not share sensitive personal information (such as Social Security numbers, full credit card numbers, or banking details) through the messaging system.

15. Communications Consent

By creating an account on AdzePro, you expressly consent to be contacted by AdzePro and Pristn Technologies LLC via email at the address you provide and via SMS at the phone number you register (if provided). This includes transactional notifications, account-related alerts, and marketing communications. You may manage your email notification preferences in your account settings and unsubscribe from marketing emails at any time. Standard messaging and data rates may apply for SMS notifications.

16. Account Suspension and Termination

AdzePro reserves the right to suspend, restrict, or permanently terminate any user account at our sole discretion, with or without notice, for any reason, including but not limited to:

• Violation of these Terms of Service or our Privacy Policy
• Recurrent negative user feedback, complaints, or reports regarding a contractor's practices or behavior on the Platform
• Fraudulent, abusive, or illegal activity
• Any other reason we deem necessary to protect the Platform, its users, or our business interests

You may terminate your account at any time through your account settings. Upon termination, your access to the Platform will cease, and your profile data will be removed from public view. Termination does not entitle you to a refund of any subscription fees already paid.

17. Intellectual Property

The AdzePro name, logo, branding, design, software, code, and all related intellectual property are owned exclusively by Pristn Technologies LLC. You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works from any part of the Platform without our prior written consent. Any unauthorized use of our intellectual property may result in legal action.

18. Disclaimer of Warranties

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. PRISTN TECHNOLOGIES LLC DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE MAKE NO REPRESENTATIONS OR WARRANTIES REGARDING THE QUALITY, RELIABILITY, OR ACCURACY OF ANY CONTRACTOR OR CLIENT ON THE PLATFORM.

19. Limitation of Liability

To the maximum extent permitted by applicable law, Pristn Technologies LLC, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of the Platform, any contractor's services, any transaction between users, or any content posted on the Platform. In no event shall our total cumulative liability exceed the amount you have paid to us in subscription fees during the twelve (12) months preceding the claim.

20. Indemnification

You agree to indemnify, defend, and hold harmless Pristn Technologies LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: your use of the Platform, your violation of these Terms, your violation of any third-party rights, any content you upload or submit to the Platform, or any dispute between you and another user.

21. Dispute Resolution

Any disputes arising out of or relating to these Terms or your use of the Platform shall first be attempted to be resolved through good-faith negotiation by contacting us at info@adzepro.com. If a dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue resolution through binding arbitration administered in the State of Nebraska, in accordance with the rules of the American Arbitration Association. You agree to waive any right to a jury trial or to participate in a class action lawsuit against Pristn Technologies LLC.

22. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Nebraska, United States, without regard to its conflict of law provisions. Any legal proceedings not subject to arbitration shall be brought exclusively in the state or federal courts located in Nebraska.

23. California Residents Disclaimer

AdzePro is designed to serve users in Nebraska and surrounding areas. The Platform is not intended for, marketed to, or designed to comply with regulations specific to the State of California, including but not limited to the California Consumer Privacy Act (CCPA), the California Privacy Rights Act (CPRA), and other California-specific consumer protection laws.

If you are a resident of California and choose to create an account or use the Platform, you do so entirely at your own discretion and risk. By proceeding, you expressly acknowledge and agree that:

• The Platform was not designed or intended to serve California residents and does not comply with California-specific regulations
• You voluntarily and knowingly waive any and all rights, claims, demands, and causes of action arising under California state law related to data privacy, consumer protection, or any other California-specific statute or regulation, to the fullest extent permitted by law
• Pristn Technologies LLC, its officers, directors, employees, and agents shall not be held liable for any claims, damages, or legal actions arising under California state law in connection with your use of the Platform
• Any disputes related to your use of the Platform shall be governed exclusively by the laws of the State of Nebraska, regardless of your state of residence

24. Service Availability

AdzePro strives to maintain Platform availability, but we do not guarantee uninterrupted or error-free access. The Platform may be temporarily unavailable due to maintenance, updates, server issues, or circumstances beyond our control. We reserve the right to modify, suspend, or discontinue any feature or the entire Platform at any time without prior notice or liability.

25. Modifications to Terms

Pristn Technologies LLC reserves the right to modify, update, or replace these Terms at any time at our sole discretion. When we make material changes, we will update the "Last Updated" date at the top of this page and may notify you via email or Platform notification. Your continued use of AdzePro after any changes to these Terms constitutes your acceptance of the revised Terms. If you do not agree with the updated Terms, you must stop using the Platform and delete your account.

26. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent.
